About these terms

These Terms govern services supplied by Smoke Signals Digital Marketing (“SSDM,” “we,” “us”) to the customer (“Client,” “you”) identified in a signed or expressly approved Service Agreement, proposal, or order. SSDM’s focus is new small-business website projects, ongoing care of websites built by SSDM, and selected local-visibility support. SSDM does not ordinarily accept ongoing repair, migration, or maintenance engagements for sites developed elsewhere.

For each purchase, the written Service Agreement identifies the services and prices; the applicable Scope of Work (“SOW”) defines deliverables, limitations, client requirements, and acceptance criteria; these Terms govern general rights, obligations, billing, and risk.

Specific individually negotiated written amendments take precedence on the subjects they expressly change. These Terms should be supplied to Clients before they approve service. If these Terms conflict with mandatory law, applicable law prevails. Nothing in these Terms excludes statutory consumer rights or liability that cannot lawfully be excluded.

Services and what is included

Website Design: SSDM offers Regular and Expanded website packages. Unless a signed quote specifies otherwise, the Regular package includes up to five business-content pages and Expanded includes up to eight. Preparation and publication of a standard website Privacy Policy and other straightforward policies needed for the agreed website’s operation are included and do not count toward those business-page limits.

The Client must provide accurate information about their business practices and review and approve the policy wording before publication. Specialized industry-specific documentation or compliance work is outside the standard website package unless expressly agreed. SSDM does not provide legal advice.

Both packages include two consolidated revision rounds. The SOW governs specific content, image, video, functionality, quality-assurance, and launch limits. More work, specialist features, complex legal/privacy compliance implementations, additional pages, or material changes need prior written approval and a quote.

Care Plans: SSDM offers Basic and Managed hosting and care plans for new websites it builds. Basic includes hosting, SSL, routine software updates, automated backups, basic security and uptime monitoring, a monthly site check, routine business-hours technical assistance and up to five custom business email addresses, with detailed inclusions defined in the care SOW. It includes no content-editing allowance. Managed includes the same technical care plus up to sixty minutes of minor changes to existing content per monthly period. Unused editing time does not carry forward.

Care plans are purchased separately from the website build and do not include unlimited changes, redesign or Growth Foundations. Additional approved work is billed at $100 per hour under the additional-work billing terms. Complex stores and client portals require separate pricing.

Growth Foundations: This optional subscription is a gateway to stronger local visibility, not a guarantee of business growth. It covers up to three hours each month including planning, implementation, tracking, and a short delivery/results report. Depending on the agreed priorities, work may include local business profiles, accurate directory listings, light keyword research, small refinements to existing SSDM website copy, and practical local visibility opportunities.

SSDM does not offer routine paid advertising management within this package. Larger campaigns or projects are discussed and quoted separately, with the Client’s approval.

Other Additions: Specifically quoted add-ons may be offered. The approved SOW or quote governs deliverables, delivery, third-party costs, functionality, and any exceptional terms.

Technical platforms and internal workflows are selected by SSDM within the agreed requirements. Platform-specific limitations, transferable licenses, third-party subscriptions, and requirements affecting Client ownership or exit will be disclosed when material.

Client inputs, approvals, and content

The Client agrees to provide accurate contact details, services, pricing, business claims, images, credentials, permissions, and approvals reasonably needed to carry out the work, and to appoint one person authorized to approve design and content decisions. Delays in access, source material, or approval may move the delivery schedule.

SSDM may prepare draft text, media, layouts, and other materials for Client review. The Client approves business facts, legal statements, industry-specific claims, professional credentials, photographs of identifiable people, third-party rights, and the final published content. The Client must own, license, or be authorized to use materials it supplies.

SSDM will correct work that does not match the approved scope but cannot independently guarantee the Client’s factual, licensing, tax, professional, or regulatory compliance. The Client is responsible for its own applicable customer privacy notices, consent, and legal disclosures. SSDM is responsible for the security and privacy obligations that apply to SSDM’s own work and processing; it does not take over the Client’s legal obligations merely by managing the technical website.

Back to contents ↑

Project workflow, revisions, and acceptance

Work begins following receipt of the agreed deposit, source materials and access. The Client receives a draft for review and may submit up to two consolidated rounds of in-scope revisions. One round means one organized response covering the current draft, not unlimited serial changes. Requests to change the original brief, add pages or features, replace approved direction, or extensively rewrite approved content may require a separate quote.

Before launch, SSDM performs reasonable tests of approved navigation, responsive display, SSL, primary contact form, and included integrations; and completes foundational search and analytics configurations when access and platform restrictions permit. The Client will have an opportunity to inspect and approve the work. Final delivery/launch requires Client approval and payment of any agreed balance.

If the Client identifies a material failure to meet the approved scope promptly after launch, SSDM will investigate and reasonably correct in-scope deficiencies without consuming the monthly content-edit allowance; unrelated enhancements remain chargeable.

Dates stated in proposals are estimates unless expressly committed in writing. Client delays and matters outside SSDM’s control may change delivery dates; material changes will be communicated.

Client delays and paused projects

If required Client content, access or approval remains outstanding for 30 consecutive calendar days after SSDM’s written request, SSDM may pause the project by giving written notice identifying the outstanding input, unless another deadline has been agreed in writing.

Work resumes after the required input is provided, subject to SSDM’s availability and a revised schedule confirmed in writing. Payments already received remain credited toward the project. Any subsequent cancellation is handled under the project cancellation and refund provisions.

Back to contents ↑

Fees, deposits, and billing

The new-client price schedule, unless otherwise agreed in writing, is: Regular Website $1,000; Expanded Website $1,500; Basic $40 per month; Managed $100 per month (first 30 consecutive days from launch complimentary on the selected care plan for new website builds); Growth Foundations $280 per month; additional business pages starting at $175 and quoted according to scope and complexity; additional approved hourly work $100 per hour, billed in 30-minute increments with a 30-minute minimum.

Fees are in Canadian dollars plus applicable taxes and independently quoted third-party costs. SSDM accepts cash, credit/debit cards and e-transfer. Material third-party costs require the Client’s approval before commitment.

Website builds normally require a 50% deposit before work begins, with the balance payable no later than three business days before the approved launch date. The Client’s quote identifies the payment schedule and included or excluded options. For one-time services, payment may be due before the work is scheduled as stated in the quote.

Monthly services are billed in advance for the upcoming calendar month. Invoices are sent seven calendar days before the 1st, and payment is due on the 1st. SSDM aims to send a courtesy reminder the day before payment is due if the invoice remains unpaid. Services begin on the date specified in the order. Until optional automatic payments are introduced and separately authorized, Clients pay their monthly invoices manually.

Scheduling monthly work

Monthly content changes and Growth Foundations work are scheduled once the required payment for that service period has been received, subject to the agreed complimentary care period. SSDM determines the internal order and timing of work within the agreed service period; specific work dates or time-sensitive deadlines are agreed separately where needed. Client input and approvals are obtained where required, and material delays affecting an agreed commitment are communicated.

Late payment may delay scheduling and limit what can reasonably be completed during the remaining service period. After payment is received, SSDM will make reasonable efforts to deliver the agreed work within that remaining period. Any reduction in delivery under this provision must reflect the actual effects of the Client’s late payment. Late payment does not extend the billing period, bank unused time or require expedited catch-up. Delays attributable to SSDM remain SSDM’s responsibility.

Clients who pay on time continue to receive the agreed service. Growth Foundations reports identify work delivered and work delayed by nonpayment. Hosting and essential technical care continue until any suspension takes effect under the nonpayment provisions.

Complimentary care period

For new website builds, the selected Basic or Managed plan begins at launch and the first 30 consecutive days, including the launch date, are complimentary. If this period extends into the next calendar month, the first billed month receives a credit for its complimentary days. The paid portion is calculated as the monthly care fee multiplied by the number of chargeable days in that month, divided by the actual number of calendar days in that month, rounded to the nearest cent. The regular monthly fee applies to subsequent full months.

Optional automatic payments

When offered, automatic payments require separate, explicit Client authorization disclosing the amount or calculation, frequency and collection date. Monthly invoices and upcoming-payment notices will be sent seven calendar days before the 1st, and authorized automatic payments collected on the 1st.

The Client may withdraw authorization for future automatic payments and pay valid invoices by another accepted method. Withdrawing payment authorization does not itself cancel the service agreement or erase valid amounts owed. Cancelling a service also stops its future recurring charges beyond the final service period; a separate request to stop those charges is not required.

Project cancellation and refunds

A project deposit is credited against the value of work and approved costs properly chargeable under the following cancellation calculation. It is not automatically forfeited, and there is no separate cancellation penalty. Each quote identifies the project stages and their values. Unless the accepted quote specifies different stage values, the build price is allocated as follows: 20% for planning, content organization and site structure; 60% for design and website construction; and 20% for final revisions, testing and launch preparation.

For an ordinary Client-requested cancellation, completed stages are charged at their agreed values. Reasonable, documented work on an unfinished stage is charged at $100 per hour, capped at that stage’s agreed value. Unstarted stages are not charged. Approved, non-refundable third-party costs are added only if not already included in the stage prices. Charges exclude correcting SSDM’s own mistakes, learning tools and duplicated work. Charges for the original build scope cannot exceed its agreed fixed price; separately approved additions and outside costs remain separate. All payments received are credited against the final charges. The Client receives the remaining credit as a refund or, if valid charges exceed payments, an itemized balance invoice.

On receipt of written cancellation, SSDM stops further project work except necessary closeout expressly approved by the Client. SSDM provides an itemized final accounting within five business days and issues any refund within 14 calendar days of receiving the cancellation, subject to any shorter legal deadline.

Refunds are returned to the original payment method where supported; otherwise, the parties agree on a secure alternative. Ordinary payment processing fees are not deducted from refunds, and applicable tax adjustments are included. Any undisputed refund is issued within that deadline even if another amount remains disputed.

This ordinary cancellation calculation does not replace the Client’s remedies for SSDM’s failure to deliver or any mandatory statutory cancellation or refund rights.

Unless the accepted quote expressly sets a different payment date, one-time service and final project invoices are due within seven calendar days of issue. Build deposits and launch balances follow the project payment schedule above, and work or launch remains conditional on receipt of the required payment.

Overdue invoices

SSDM will notify the Client of a missed payment and allow a reasonable opportunity to resolve it before avoidable service disruption. Any late fee or interest must be specified in the accepted order or invoice and comply with applicable law; these Terms do not impose an automatic weekly penalty.

Price changes

Rates for new projects or renewal periods may change on written notice; new prices do not retroactively change completed work, prepaid periods, or existing fixed-price obligations. Any change to an active recurring engagement requires the notice and approval or renewal process specified in that agreement and applicable law.

Back to contents ↑

Monthly plan changes and cancellation

Basic, Managed and Growth Foundations are month-to-month unless a separately signed order provides otherwise. The Client may cancel at any time by emailing admin@smokesignalsdigital.ca, effective at the end of the current billing period, subject to non-waivable rights. Seven calendar days’ advance notice is appreciated for planning but is not a condition of avoiding renewal: cancellation received before the next billing period prevents that period’s renewal and fee. There is no cancellation fee or penalty.

Cancellation during the complimentary care period prevents the first paid care period, and any advance payment for that future period is refunded. A Growth Foundations review after approximately 90 days is recommended.

Monthly fees cover the availability and scoped delivery of the service during the paid period. Unused monthly time is not banked or converted into credit for future months. SSDM does not issue pro-rated refunds after an active period has started, except as required by law or agreed in writing.

SSDM will confirm cancellation, the final service date and any remaining balance in writing. Invoices for future periods cancelled before they begin will be withdrawn, and any amounts already collected for those cancelled periods will be refunded within 14 calendar days of receiving cancellation, subject to any shorter legal deadline. The original payment method or an agreed secure alternative will be used without deducting ordinary payment processing fees. Future recurring charges for the cancelled service stop without a separate payment-cancellation request.

The selected care plan and Growth Foundations are separate subscriptions. Ending Growth Foundations does not require closing the selected care plan. Ending the selected care plan without replacing it with another agreed SSDM care plan means SSDM’s hosting, routine security work and management of that website will also end following an orderly handoff, unless a written exception is agreed.

SSDM ending a monthly service

For an ordinary decision by SSDM to end Basic, Managed or Growth Foundations for reasons unrelated to Client breach, SSDM gives at least 30 calendar days’ written notice identifying the affected service and final service date. The agreed service continues until that date, subject to the separate nonpayment, misuse and emergency security provisions.

Where SSDM hosting will end, SSDM provides the included export and cooperates with an orderly handoff under the domains, access, ownership and handoff provisions. Future recurring charges for the ended service stop beyond the final service date.

SSDM provides an itemized closeout and refunds any unused prepaid fees for services it will not provide within 14 calendar days after the final service date, subject to any shorter legal deadline. These refunds include any prepaid portion of the current service period that SSDM will not provide.

Back to contents ↑

Nonpayment, misuse, and service interruption

The Client must use the website and related services lawfully and must not use SSDM resources for unlawful activity, infringement, spam, fraud, deceptive conduct, unauthorized access, malware, or threatening or abusive behaviour. SSDM may reasonably decline or suspend a request that presents an immediate security, legal, technical, or safety risk. For an ordinary remediable breach, SSDM will give notice and a reasonable opportunity to correct it where practicable.

When payment becomes overdue, SSDM will send a reminder identifying the outstanding amount and payment instructions. Before suspension or termination for nonpayment, SSDM will give at least seven calendar days’ written warning identifying the amount owed, the affected service and the proposed action date.

If payment remains outstanding 15 calendar days after the invoice due date, SSDM may suspend the affected service, including hosting where the unpaid service is Basic or Managed, after the required advance warning. If payment remains outstanding 30 calendar days after the invoice due date, SSDM may terminate the affected service after a final written warning given at least seven calendar days before termination, subject to applicable law. A written payment arrangement accepted by SSDM may extend these deadlines at SSDM’s discretion.

Nonpayment action is limited to the affected service: unpaid Growth Foundations fees do not by themselves justify suspending an otherwise paid-up Basic or Managed service. Emergency security-related suspension may occur sooner.

Suspension or termination does not erase undisputed amounts already due. Recurring renewals for the affected service stop while it remains suspended; valid charges for the current billing period and earlier periods remain payable.

For a service suspended for nonpayment, SSDM will aim to restore service within one business day after cleared payment or acceptance of a written payment arrangement. No routine reconnection fee applies.

SSDM will make commercially reasonable efforts to avoid unnecessary data loss or interruption during an ordinary contractual exit, but no uninterrupted website or email availability is guaranteed. Termination ends SSDM’s service and does not remove the Client’s ownership of an already-paid website or automatically trigger immediate deletion of Client files. File delivery, retention and handoff are addressed in the domains, access, ownership and handoff section.

Domains, access, ownership, and handoff

Where SSDM registers a domain for a Client, the Client will be recorded as registrant/owner where the registrar permits; SSDM may administer nameservers, DNS and renewal while engaged. Registrar and third-party restrictions, renewal charges outside the agreed plan, and Client account access responsibilities will be disclosed.

SSDM may use software, templates, design systems, fonts, licensed images, and third-party components that remain subject to separate licenses rather than transferring as unrestricted intellectual property. Client-provided assets remain the Client’s property. Once the project is paid in full, the Client owns the project-specific website copy and approved custom designs to the extent SSDM owns and is entitled to transfer those rights.

At completion, SSDM provides an ownership and rights-transfer document identifying the Client, website, transferred custom work and relevant licensing conditions; SSDM signs the document for the rights it assigns.

Any supplied software, platform, third-party stock media, or non-transferable components retain their respective licensing terms. SSDM will not withhold Client-owned domain credentials or personal information improperly.

Completion documents and website copy

At completion of every fully paid website, the Client receives a dated, usable copy of the finished website in a practical export or backup format, including its site files, content and database where applicable. SSDM emails a secure download link and supplies applicable Client-owned account credentials through a secure method. Exports and access are limited to the Client’s website and do not include SSDM’s shared hosting credentials or other clients’ information.

A delivery checklist records the materials and access supplied, the delivery date and who is responsible for ongoing care. Basic handoff includes the ownership document, completion copy, applicable credentials and checklist, plus one current website export if the Client later leaves either SSDM care plan for another host.

Delivery after cancellation of an unfinished website

For a website project cancelled before completion, the payment condition for this delivery is settlement of the properly payable final cancellation account under the project cancellation and refund provisions. As part of closeout, SSDM supplies a practical copy of the project-specific work covered by the paid charges, reflecting its state of completion at cancellation and identifying unfinished portions. Delivery includes the available project files, content and database where applicable.

SSDM also supplies a signed ownership and rights-transfer document identifying the paid custom work transferred and applicable licensing conditions. Third-party and pre-existing components retain their licensing terms. The existing protections for Client-owned assets, domain credentials and personal information continue to apply.

Care plans on SSDM-managed hosting

The Client owns the fully paid website while SSDM continues hosting and maintaining it under the selected Basic or Managed agreement. Delivery of the ownership document and completion copy does not end that agreement or transfer responsibility for the agreed ongoing care to the Client.

Website built in the Client’s own hosting account

Where SSDM builds the website in the Client’s own hosting account, including a WHC account, completion includes the website copy, ownership document and applicable website and hosting account access. The Client signs a completion and handoff acknowledgement recording delivery and the date on which they assume responsibility for updates, security, backups and ongoing care. Unless separately agreed, further assistance outside SSDM’s agreed correction obligations requires prior approval at $100 per hour under the additional-work billing terms.

Leaving SSDM-managed hosting

The Client arranges replacement hosting and initiates the migration request with the receiving provider or their appointed technician. SSDM provides the included current export and cooperates with an authorized transfer through secure, site-specific access or delivery. A signed handoff acknowledgement records the materials and access delivered, migration responsibilities, the final SSDM hosting date and who assumes future website care.

Those dates and responsibilities are confirmed in writing. Basic handoff and delivery of the included export do not carry a separate handoff fee.

Actual migration work, installation elsewhere, troubleshooting, recreating licensed functionality and replacement subscriptions are outside basic handoff and require a separate quote and the Client’s advance approval. SSDM’s approved migration assistance is billed at $100 per hour under the additional-work billing terms.

The handoff acknowledgement documents delivery, applicable checks and responsibility for future care; it is not a blanket release from responsibility for defective work or a waiver of non-waivable rights. SSDM does not guarantee compatibility with a replacement provider. The Client is responsible for making arrangements for future hosting, email and domain renewals.

Export retention after service ends

SSDM retains the final handoff export for 30 calendar days after the applicable build or hosting service ends and discloses in writing the date after which it may be deleted. The Client is responsible for downloading and keeping an independent copy. This retention period does not extend live hosting beyond its agreed end date.

After the disclosed retention period, SSDM may delete the final export and inactive hosting data. Records or information that must be retained for legal purposes are handled separately under SSDM’s Privacy Policy and applicable requirements.

Back to contents ↑

Website care, security, and third parties

SSDM uses reasonable care in configuring, monitoring, updating and maintaining its supported websites under Basic or Managed. Both plans include hosting, SSL, routine software updates, automated backups, basic security and uptime monitoring, a monthly site check, routine business-hours technical assistance and up to five custom business email addresses as defined in the care SOW. The care SOW identifies the routine update schedule, backup frequency and retention period, confirmed against the hosting setup before the Client agrees to the service.

Routine maintenance includes reasonable checks after updates and a straightforward rollback when an update fails, where technically feasible. Correcting SSDM’s own mistakes remains SSDM’s responsibility. Content changes under Basic, new functionality and substantial repairs outside routine maintenance require a separate quote and advance approval at the published hourly rate, unless expressly included in an accepted scope.

No website, software, hosting provider, email system, domain registrar or third-party service can be guaranteed free from interruption, vulnerability, or data loss. The Client should keep independent copies of business-critical records, content and customer submissions.

Third-party providers control their own terms, pricing, availability, eligibility, verification, and feature changes. Any material paid subscriptions or usage charges not expressly included in a selected package must be approved in advance. SSDM will take reasonable steps within its control to troubleshoot relevant issues and communicate material service interruptions.

SSDM aims to acknowledge reported technical issues by the end of the next business day after receipt. Acknowledgement confirms receipt of the issue and is distinct from investigation or completed repair. Urgent security concerns are prioritized.

Investigation and resolution times depend on the nature and severity of the problem, the agreed scope and any third-party provider involved; there is no blanket guaranteed repair deadline. The Client is responsible for securing accounts it owns and for promptly notifying SSDM of suspected compromise or changes to connected services.

Back to contents ↑

Growth Foundations and measurement

SSDM will undertake useful monthly visibility work based on the Client’s agreed business priorities and within the purchased scope. SSDM determines the individual tasks and their timing within that scope and reports the work delivered each month. Growth Foundations is a prioritized service, not a fixed number of listings, profile posts, rankings, leads, calls, sales or hours guaranteed to be fully consumed.

Work time includes planning, execution, checking available results and preparing a concise monthly report. The report will describe meaningful work undertaken, timing, evidence where available, relevant metrics with source/date range, limitations and next recommended actions. Blocked activities or unavailable metrics will be noted, and SSDM will work with the Client to address them where practical and within the agreed scope.

Search visibility, map rankings and business-profile activity depend on factors beyond SSDM’s control, including market conditions, Client cooperation, platform policies and competition.

Separate paid advertising or extensive campaigns are not included. A Client must separately approve any recommended paid project, third-party costs and advertising spend.

Back to contents ↑

Privacy and confidentiality

SSDM handles its own clients’ personal information in accordance with the separate SSDM Privacy Policy available on our website. Access to the other party’s information is limited to what is reasonably necessary for the agreed work. Confidentiality obligations continue after services end. Each party will promptly notify the other of a confirmed breach or credible suspected compromise affecting the other party’s information or account access, and will reasonably cooperate on containment and response.

Parties will protect confidential access credentials, pricing proposals, non-public business records, and sensitive information, use it only for the engagement, and disclose it only to authorized service providers, advisers, or as lawfully required. When SSDM processes information for a Client’s website, both parties retain their applicable privacy and security responsibilities.

Sensitive personal information, regulated records, special user accounts, payments or unusual tracking may require an additional written privacy/security scope and review before implementation. SSDM will not sell client or website-visitor personal information. The Privacy Policy explains access, correction, collection, retention, safeguards, and privacy requests.

Back to contents ↑

Portfolio use and attribution

SSDM obtains the Client’s written permission through a separate Portfolio Use Consent form before publishing approved screenshots, the business name, website link or a brief description of completed work. The form identifies the materials approved and the channels where they may be published. Permission is optional and limited to that recorded scope.

The Client may withdraw portfolio or other promotional permission at any time by emailing admin@smokesignalsdigital.ca, without charge. SSDM stops authorizing new promotional use on receipt of written withdrawal and removes the affected material from channels it controls within five business days of receipt. Independent third-party copies and search-engine caches are outside SSDM’s control, so their removal cannot be guaranteed.

A website footer credit or link is entirely optional and requires a separate checkbox on the Client Agreement, unchecked by default. Declining or withdrawing permission carries no charge. Where SSDM manages the website and has authorized access, it removes the credit within five business days of receiving written withdrawal. After handoff, the Client may remove the credit directly.

Testimonials require separate written approval of the wording, attribution and publication. Portfolio or footer-link permission does not authorize a testimonial or imply an endorsement. Public references will not disclose confidential information or private analytics.

Back to contents ↑

Service standard, risk, and disputes

SSDM will perform agreed services with reasonable care and skill. It does not guarantee specific rankings, sales outcomes, uninterrupted access, or perfection of third-party tools. Neither party limits liability where doing so would be prohibited by law.

Liability limits

Subject to the exceptions below, SSDM’s total liability to the Client for loss arising from or connected with an affected service, whether in contract, negligence or otherwise, is limited as follows:

  • Website builds: the total agreed fee for the affected website project.
  • Monthly services: the greater of $1,000 or the fees paid or properly payable for the affected monthly service during the 12 months immediately before the incident giving rise to the claim.

Each applicable limit applies collectively to all claims arising from the same incident or a series of related incidents. For a related series, the monthly calculation uses the 12 months before the first incident. Where more than one monthly service is affected by the same incident or related series, the fees for those affected services are combined and the $1,000 minimum applies once.

These limits do not reduce any refund SSDM is required to provide under the agreement or applicable law, or its agreed obligations to correct deficient work.

The limits do not apply to SSDM’s fraud, deliberate misconduct or gross negligence, or to liability that cannot lawfully be limited. Any individually negotiated change to these limits must be clearly stated in the accepted agreement.

Responsibilities and dispute resolution

The Client is responsible for claims arising from unlawful or infringing materials or false business representations that the Client supplies or approves, to the extent caused by the Client’s acts and permitted by law. SSDM remains responsible for its own negligence, wilful misconduct or legal obligations to the extent required by law.

Parties agree to first attempt reasonable good-faith resolution through written notice and a fair opportunity to investigate. These Terms are governed by British Columbia and applicable Canadian law. A competent court or other lawfully available process may resolve unresolved disputes; no clause here waives non-waivable rights to court remedies, public reviews, statutory cancellation rights or class proceedings.

Notices, changes, and acceptance

Official SSDM administrative, billing, contract and privacy correspondence is directed to admin@smokesignalsdigital.ca. General enquiries and website communications may be sent to info@smokesignalsdigital.ca. Notices to Clients will use the contacts provided in each order and may be sent electronically.

A Client may accept a specific written proposal and these supplied Terms by signature or an explicit written/electronic approval. Merely browsing the website or submitting an inquiry is not acceptance of a paid service contract.

New versions of these Terms apply to future agreements when supplied to the Client before acceptance. Updating the website alone does not amend an accepted agreement.

Recurring price changes: SSDM gives at least 30 calendar days’ written notice of an increase to recurring service prices, stating the new price and effective date. The increase takes effect at the start of the next billing period beginning after the full notice period, subject to any longer notice or consent requirements imposed by law. The Client may cancel the affected service before the increase takes effect, without a cancellation fee, under the monthly cancellation provisions. Fixed project prices and prepaid service periods remain as agreed.

Other material changes: Other material changes to an accepted agreement require both parties’ explicit written agreement. A written amendment identifies the specific terms being changed.
